Provisions on the Administration of Enterprise Name Registration (Revised Draft) Passed to Streamline and Standardize Enterprise Name Registration.

On December 14, Premier Li Keqiang of the State Council chaired an executive meeting of the State Council, which focused on optimizing government service hotlines for public convenience to enhance efficiency and quality in serving businesses and the public. The meeting also decided to implement nationwide unified registration for movable property and rights guarantees to facilitate corporate financing through guarantees. Additionally, the "Regulations on the Administration of Enterprise Name Registration (Revised Draft)" was adopted to streamline and standardize the process of enterprise name registration.

The meeting emphasized that the Party Central Committee and the State Council place high importance on accelerating the development of a service-oriented government. Government service hotlines for public convenience, which directly serve businesses and citizens, serve as vital channels for raising issues, offering suggestions, promoting scientific government decision-making, and addressing problems in government services. In recent years, these hotlines have played a positive role in resolving difficulties for businesses and the public. Moving forward, in line with the requirements of deepening the "streamlining administration, delegating power, improving regulation, and upgrading services" reforms, efforts must be made to optimize government service hotlines by addressing issues such as the excessive number of hotlines and the inconvenience caused to the public. For non-emergency government service hotlines involving businesses and the public, local governments, especially at the city and county levels, must take responsibility. Hotlines established by local governments and those set up by relevant State Council departments but answered locally should be merged as much as possible, ideally under a single number for ease of public memory and use, reflecting a one-window service approach. Relevant State Council departments are to guide and support local governments in optimizing their hotlines. The meeting stressed that optimizing government service hotlines should not only make it easier for the public to call but also improve processes and resource allocation, strengthen technical support, ensure seamless coordination between hotline reception and backend service handling, and establish robust mechanisms for prompt response to complaints and oversight accountability. This will ensure timely resolution of issues and reasonable demands raised by businesses and the public, making government service hotlines faster in response, more accurate in categorization, and more effective in resolution.

To optimize the business environment and enhance financial services for the real economy, especially for small and micro enterprises, pilot programs for unified registration of movable property and rights guarantees were conducted in certain provinces and cities in recent years to facilitate corporate financing through guarantees. During the pilot phase, over 95% of newly registered guarantee services and more than 80% of financing amounts involved private, small, and micro enterprises. To further expand the reform's impact, the meeting decided to implement nationwide unified registration for movable property and rights guarantees starting January 1, 2021. Responsibilities previously held by the State Administration for Market Regulation (such as registration for mortgages on production equipment, raw materials, semi-finished products, and finished products) and the People's Bank of China (such as registration for accounts receivable pledges), as well as registrations for deposit slip pledges, financial leases, and factoring, will now be uniformly managed by the People's Bank of China, providing internet-based 24/7 services. Existing registrations of movable property and rights guarantees will not require re-registration, and relevant departments must properly handle the transfer of legacy data. For new registrations, parties may independently complete the process via the Unified Registration and Publicity System for Movable Property Financing and are responsible for the authenticity, completeness, and legality of the registered content, while registration authorities will not conduct substantive reviews. Unified registration will help financial institutions comprehensively access corporate movable property and related rights information, thereby increasing their willingness to provide financing guarantees.

The meeting passed the revised draft of the Provisions on the Administration of Enterprise Name Registration, refining basic norms for enterprise names and establishing a self-declaration system for enterprise name registration. Applicants may independently select compliant names and must commit to bearing legal liability for any infringement. At the same time, the draft balances deregulation with oversight, requiring registration authorities to strengthen mid- and post-event supervision, reject or correct non-compliant names, and address disputes through legal action or mediation/arbitration by the registration authority.
